Introducing the USA 250 M&A Series

July 4, 2026 marks 250 years since the most historically important M&A transaction announcement in modern history. America’s founding was itself a hostile corporate spinoff, filled with its own major M&A moments and metaphors. 

On this day, the thirteen American-based “subsidiaries” of the domineering and sprawling global conglomerate Great Britain declared a hostile corporate spinoff, rejecting Britain’s insistence that they further integrate and bend the knee.  

On July 4, 1776, the 13 subsidiaries announced their merger into a single new coherent entity, the United States of America. They invented a new and radical corporate charter organized around principles of freedom, equality, and the elimination of hereditary privilege and absolute monarchy. They enshrined these ideas not only in the Declaration of Independence but also in other vital founding corporate documents, most notably the American Constitution.  

The hostile and rebellious corporate spinoff led to a bloody and costly multi-year litigation (the American Revolutionary War) in which hundreds of thousands gave their lives so that this fledgling new underdog corporation, built on radical new ideals of democracy and freedom, might live on.  

The Treaty of Paris acted as the final Settlement Agreement. Both parties sat at a negotiating table to formally transfer titles, redraw asset boundaries, and globally recognize the new American entity.

250 years later, we owe a great deal to those brave 13 subsidiaries. Despite their many flaws and mistakes, they invented and defended a new form of human governance that has gone on to create more peace, progress, and human prosperity than they could have ever imagined.  In the next 250 years, let us hope that we can do right by these ideals and push ourselves, our communities, our politicians, and our fellow citizens to uphold and practice the ideals of equality and freedom with ever greater commitment.
