ASSESSMENT — Our acquisition program begins with the development of a strategic road map, one that takes into account corporate strategy, capabilities, portfolio objectives and industry structure. The purpose here is to determine where the enterprise is positioned within the value spectrum and to identify where (industry, sector, geography) it should focus its future acquisition objectives.
PROCESS PLANNING — Established internal processes for moving deals through can mean the difference between executing a deal efficiently or watching it pass by. At PCS, we follow assessment — which establishes a road map and objectives for acquisitions — with process planning by working with key management personnel and stakeholders to develop the internal deliverables and approval processes needed to conduct due diligence and move deals toward completion with confidence and efficiency.
TARGET IDENTIFICATION — Once objectives have been set and processes established, we shift to target identification. Working alongside acquisition clients, we develop a defined set of criteria to enable proper strategic fit and approach strategies. We then identify specific, willing candidates to begin initial discussions and vetting. The final targeting activity includes assisting the client in preparing board-level documentation for candidate approval.
DEAL EXECUTION — Throughout the M&A process — from initial introductions to negotiation to transition planning — the PCS team can help you manage the transaction and relationship, right down to preparing required documentation for final board / ownership approval.
TRANSACTION READINESS — Integration of a newly acquired company may take two years to complete, depending on the experience level and resources of the acquiring company. That doesn’t mean a company’s acquisition strategy goes on hold. At PCS, we work with leadership teams during integration to initiate activity on the next acquisition.
