Michael Stein founded Michael Stein & Associates Inc., a boutique consulting firm that advises clients in the field of mergers, acquisitions, divestitures, corporate finance, re-organizations and going public, several years ago. He has acted both on the buy side and sell side of a transaction in numerous industries and has guided many clients, both large and small.
With over 30 years of extensive experience acting as both principal and agent, Michael has established a reputation of being able to negotiate and structure a deal that actually closes. His level of commitment to a transaction combined with his vast knowledge and expertise is one reason why he has a loyal client base.
He has established relationships with many Bay Street law firms, major accounting firms, bankers, insolvency practitioners and represents both high net worth individuals, private equity groups, institutional and hedge fund investors.
Mr. Stein has held several senior positions including:
• Senior Institutional Money Banker for a California based Savings & Loan Association in 1980.
• Director U.S. Money Market division for a federally chartered Canadian Trust Company from 1981-1989.
• President and founder of a private technology company from 1990-1996. He successfully negotiated acquiring all rights , title and interest in and to an innovative swimming pool intrusion alarm referred to as “SAVE” , assembled an R&D team to complete the technology development, guided an IPO public financing and listing on a Canadian stock exchange and thereafter successfully commercialized and marketed the alarm worldwide. In 1997, Consumer Reports Magazine rated the alarm the best in the world.
• As principal and major shareholder of a Canadian public company, he negotiated the $10 million acquisition of a major Canadian lighting division of a public company in 1996 and held the position of President and director . • Negotiated the sale of the a large industrial ,multinational electrical manufacture and distributor’s interest to another company he was founder of and successfully guided the company going public in 1998 and a listing on the Toronto Stock Exchange. Held the position of V.P. Corporate Affairs and director from 1998-2001. Was responsible for all M & A and completed 5 acquisitions, including a hostile take-over in 3 years. Raised over $50 million in equity and debt financing that enabled sales to grow from $20 million to $60 million.
Mr. Stein completed a B.A. in 1979 and was enrolled in the Honours Economics program.
His recent transactions include:
• Arranged 4 secured debt financings totaling $120 million for a large developer/builder operating in Southwestern, Ontario • Arranged multi million dollar mezzanine facility for subprime car leasing company . • Arranged multi million dollar mezzanine facility for a private financial institution that factors accounts receivables for clients. • Arranged new credit facility and restructured the operations of national staffing company who specializes in the trucking industry . • Restructured the affairs of a specialty food company in the U.S.A. • Restructured the affairs of a large perfume distributor with its head office in Dubai. • Acted on the sell side and negotiated the divestiture of a large building products company whose sales exceeded $25 million . • Arranged debtor in possession financing for a life settlement client who filed under CCAA ( $185 million USD filing) and assisted with the re-organization of its affairs. • Acted for a secured creditor and realized on its security. Successfully re-organized the affairs of this food company and litigated against the proposal Trustee in Bankruptcy that was negligent which resulted in obtaining personal judgements against both Trustees. Thereafter, he negotiated the sale of assets held by the secured creditor.
