The Galway Capital team is comprised of former senior executives in the energy sector who successfully provide a full range of registered capital market transactional services to their clients. Galway Capital's advisory methodology includes conducting initial in-depth financial analyses of proposed business plans and determining strategic alternatives for capital structures. In addition, experienced energy professionals offer advice on equity options, prepare private placement memoranda, distribute information to selected equity sources, evaluate offers, assist with negotiations, and work to close transactions to the clients' satisfaction. Galway Capital has also developed relationships with numerous private capital firms, institutions, and international merchant banks in order to provide various options of project financing such as senior debt, subordinated debt, convertible securities, equity, venture capital, and structured finance. Galway Capital is registered with the Securities and Exchange Commission as a securities broker/dealer and is a member of the Financial Industry Regulatory Authority (FINRA, www.finra.org ) and the Securities Investor Protection Corporation (SIPC). Galway Capital's Managing Directors have a vast range of experience in the energy and financial industry: Mr. Hal Miller has experience spanning a broad spectrum of technical, strategic planning, and financial areas within the energy industry, Hal is widely recognized for innovative problem solving. Prior to founding Galway Group (2003) and Galway Capital's (2002) predecessor company, Cornerstone Ventures, Hal held a variety of engineering and operating positions with Phillips Petroleum and Colorado Interstate Gas. Mr. Miller also held senior marketing, planning, and business development positions with Transco Energy and The Williams Companies. Following these ventures, Hal was responsible for the start-up anddevelopment of Transfuel Resources, an indirect subsidiary of Mitsubishi Corporation. Through Galway Capital, Mr. Miller is registered as a General Securities Representative (Series 7) and General Securities Principal (Series 24) with FINRA. Mr. Robert Stibolt's experience in the energy industry has covered a broad range of topics ranging from economic evaluation and risk analysis for E&P companies, merchant power and LNG project development to long-dated structured energy transactions, energy trading and risk management. Prior to joining Galway, Mr. Stibolt served as Senior Managing Director and Chief Risk Officer of Bear Energy and, following the Bear Stearns merger with J.P.Morgan, Managing Director in the J.P. Morgan Global Commodities Market Risk Organization. Earlier in his career, Bob was Senior Vice President of Strategy, Portfolio & Risk Management for Suez Energy North American. He has also held various risk management and analysis positions with Natomas, ARCO and Sonat Inc. Bob has published several articles on real options and risk management and been invited to testify before Congress and FERC. Mr. Stibolt has also been a Partner with Strategic Decisions Group and now leads Galway's alliance with SDG focused on providing strategic and risk management services to the global energy industry. Mr. Jeffrey Pendergraft has over 35 years of energy experience. Jeff's background includes executive management roles, as well as private placements, public debt and equity financings, merger, acquisition and venture transactions. Earlier in his career, Mr. Pendergraft served as Chief Administrative Officer of Lyondell Chemical and Chairman of its refinery joint venture. Jeff has arranged public and private financings and led numerous strategic transactions valued in excess of $40 billion. Prior to joining Galway, he founded the Wind Rose Group, an energy investment and advisory firm. He has evaluated more than one hundred energy and technology investment opportunities, structuring transactions and investing in several opportunities.As an advisor, Jeff has consulted with management and private equity firms on growth strategies, mergers and financial plans and negotiated a variety of different transactions. Mr.Pendergraft also serves as Chairman of HNNG Development, a firm focused on commercialization of low BTU natural gas. Mr. Stephen Pouns has had a long career in the investment management business.His career encompasses a broad range of investment types, strategies and innovations over the past 38 years. Prior to joining Galway, Mr. Pouns ran an energy hedge fund with Mr. John Olson that invested in broad range of energy companies including companies involved in oil, natural gas, LNG, coal, construction,transmission and a broad range of energy services companies. Strategies included long/short portfolio construction, use of options, junk bonds,convertibles and other securities. As an industry analyst, Steve has followed the energy industry consistently for at least thirty years from the standpoint of both equities and junk bonds. Steve also has experience in high yielding companies of all kinds, convertible securities, pharmaceutical companies, generic drug companies, and financial companies of many types.During his career, Mr. Pouns was a founding principal of AIM Management (now Invesco) and participated in the design and marketing of the first high yielding bond fund, the first convertible securities fund that had hedging capability and the first institutional money market fund. Subsequently, he was a partner in a value oriented investment managerwhere the assets grew from $100 million to over $2 billion.
