Divestitures
In the context of the divestiture of a business, we are usually called upon to prepare a valuation analysis and compare a sale scenario with other value maximization scenarios available to shareholders.
We also identify the financial, tax, competitive, regulatory, legal and other issues that may have a material impact on the outcome of a transaction in order to recommend strategies aimed at managing these issues in an optimal manner, including the involvement of specialized third party advisors.
Once the decision to sell is made, we proceed with an analysis of the current state of the market, the universe of potential acquirers and recommend a sale process aligned with our client’s objectives.
We manage the sale process in consultation with our client and ensure that all parties involved work in a coordinated fashion (lawyers, accountants, other advisors, board of directors).
We work closely with our client through the analysis of proposals, negotiation of terms and conditions and the closing of a transaction, with a focus on achieving an optimal outcome.
Acquisitions
When we are requested to assist in an acquisition, we conduct a valuation analysis and review every financial aspects of a particular target or targets.
We also identify the financial, tax, competitive, regulatory, legal and other issues that may have a material impact on the outcome of a transaction in order to recommend strategies aimed at managing these issues in an optimal manner, including the involvement of specialized third party advisors. We assist our client in identifying an appropriate target, establishing the financial parameters of the transaction and preparing, if required, materials aimed at presenting an acquisition financial plan to the board of directors or to financial partners. We work closely with our client through the approach of the target, negotiation of terms and conditions and the closing of a transaction, with a focus on our client’s best interests
