Industry Report: Professional Services Q2 2026 [FOCUS]

  • Public-market performance weakened sharply in Q2.
    The FOCUS Professional Services Index fell 6.3% during the quarter and 16.7% over the last 12 months, significantly underperforming the S&P 500 and NASDAQ. The report attributes the pressure to tighter client budgets, delayed large projects, and growing investor concern around AI’s impact on professional services business models.
  • Valuation multiples compressed materially.
    According to the public markets summary on page 4, the Professional Services Index traded at 1.0x revenue and 6.1x EBITDA as of June 30, 2026, down from 2.2x revenue and 13.4x EBITDA a year earlier. For middle-market firms, this highlights a more selective valuation environment where differentiation and earnings quality matter more.
  • M&A activity remains active, though below 2025’s pace.
    The sector recorded 84 announced transactions in Q2 and 198 in the first half of 2026 across Consulting, Accounting, Tax & Advisory, and Legal Services. Based on the deal-count chart on page 5, 2026 is tracking below 2025’s 420 deals but above 2024’s 372-deal pace on an annualized basis
  • Private equity-backed consolidation is a major driver of deal activity.
    Aprio, backed by Charlesbank Capital Partners, announced four acquisitions during the quarter, while J.S. Held, backed by Harvest Partners, announced three. Fortress Investment Group also completed two investments, including a $125 million minority investment in Rafi Law Services’ MSO, illustrating continued sponsor interest in scalable professional-services platforms.
  • Succession, specialization, and technology-enabled delivery are shaping the most attractive opportunities.
    The sector spotlight on page 13 notes that accounting consolidation is accelerating as thousands of owners approach retirement, consulting buyers are seeking specialized skills and new capabilities, and legal services are seeing growing PE interest through litigation-support platforms and MSO structures. Firms with scalable talent models, specialized expertise, and technology-enabled delivery are best positioned to attract strategic and financial buyers.
