In today’s issue, we review the LOI for a managed IT services business that provides cloud infrastructure support and cybersecurity solutions for small and mid-sized businesses. The company has been in business for more than 20 years and delivers a full suite of network management, virtualization, storage, and IT consulting services to a diversified commercial client base.

When the deal confidentially went to market via Axial in Q2 2025, the business reported a revenue range of $4M – $5M and an EBITDA range of $1.5M – $2M. An individual investor executed the winning LOI 72 days after pursuit and successfully closed the transaction 133 days later.

The LOI was structured using a combination of cash, seller financing, and a performance-based earnout. The seller note has a five-year term at an annual interest rate of 8% with a balloon payment at maturity. The earnout is structured as a one-time payment tied primarily to the business achieving pre-determined revenue targets during the 12 months post-close.
