We are a Canadian family-backed permanent-capital investor seeking to acquire a controlling interest in one exceptional business and operate it for multiple generations. Unlike a traditional private equity fund, we have no predetermined exit timeline and are focused on providing a long-term home for a founder- or family-owned company while preserving its employees, culture, customer relationships and legacy.
We are primarily targeting businesses headquartered in Canada with approximately C$25–100 million of revenue, C$5–15 million of normalized EBITDA and C$50–150 million of enterprise value. We prioritize mission-critical, recurring-revenue businesses operating in niche markets such as industrial technology, monitoring and sensing, testing and certification, metering, life-safety services, environmental compliance and other essential B2B industries.
Our ideal company has a high proportion of recurring or contracted revenue, strong customer retention, attractive EBITDA margins, consistent free-cash-flow generation, modest maintenance capital requirements and limited customer concentration. We are particularly interested in businesses where proprietary physical infrastructure, regulatory requirements, technical expertise or a large installed base create durable competitive advantages, and where AI can improve productivity and customer outcomes rather than displace the company’s core offering.
The next generation of the family intends to become actively involved in the company’s long-term development. Our objective is to support management, invest in organic growth, pursue disciplined acquisitions and build the business over a 20- to 40-year ownership horizon—not acquire it for a short-term resale.
