RayLio Holdings is a long-term, family-backed investment platform focused on acquiring and operating essential, asset-intensive lower middle-market businesses in the U.S. We partner with owners seeking a thoughtful transition and prioritize continuity, legacy preservation, and operational stability.
Our investment focus includes regulated or route-based service businesses such as portable sanitation and liquid waste, funeral homes and crematories, HVAC, plumbing, electrical services, laundromats, and other essential trade and infrastructure-related sectors. We target businesses with $2M–$10M of EBITDA for platforms and $1M+ for add-ons, strong recurring demand, and durable local market positions.
RayLio is led by a seasoned investor with over 15 years of experience across principal investing, structured finance, and M&A, including the execution of complex transactions alongside institutional capital providers. In addition to an institutional investing background, the principal has also founded, built, and operated a CPG business, providing firsthand experience with day-to-day operations, cash flow management, hiring, and scaling a small business.
This combination of investor and operator experience allows us to move efficiently through diligence, structure transactions creatively, and engage with sellers from a practical, owner-operator perspective. We are flexible on deal structure and regularly work with SBA financing, seller notes, earn-outs, and rollover equity where appropriate.
Our objective is to build a concentrated portfolio of high-quality operating businesses held for the long term, while being a reliable, professional counterparty to sellers and intermediaries.
