Perpetuo is a permanent capital holding vehicle deploying committed capital directly from our balance sheet, we seek to acquire US based businesses through majority change in control LBO with historical management continuing to stay in place. Our criteria include EBITDA ranges $2-10M, 12% margins or greater, with 5+ years of profitable cash flow operations. We are sector agnostic, but do not invest in technology, real estate, and capital intensive businesses. We aim to align sellers with our long-term permanent hold strategy through a majority buyout, seller note, and roll over equity.
