TARGET CRITERIA - ~$300-500K EBITDA - B2B with recurring or repeat customers - Purchase price: $2M–$5M - Structure (nice to have): open to sellers who will accept a 10–20% seller note (standby 12–24 months) as part of an SBA 7(a)-financed deal; rollover equity or earnout considered on larger transactions
INTERESTED FIELDS 1. Property services (maintenance, facilities — excluding landscaping) 2. Specialty manufacturing 3. Industrial distribution 4. Commercial HVAC, roofing, concrete, and restoration contractors 5. Building products manufacturing (windows, doors, millwork, cabinetry) 6. Fire & life safety 7. Waste & recycling 8. Commercial laundry 9. Self-storage operators
NOT INTERESTED IN - Restaurants - Retail or e-commerce - Consumer brands - Hotels - Franchises - Marketing agencies - Staffing agencies - Medical or dental practices - Law or accounting firms - Venture-backed technology or software startups - Landscaping - Property management / real estate (general)
ADDITIONAL SCREENING CRITERIA - Customer concentration cap: no single customer above 15–20% of revenue - Recurring/contracted revenue floor: 40%+ under contract or repeat business - Owner transition: seller willing to stay on 6–12 months post-close - Business runs without owner day-to-day, or has a #2 already in place - Gross margin floor and labor-intensity comfort level (union status, headcount, turnover) - Growth trend: flat-to-growing preferred, avoid structurally declining businesses - Capex intensity / asset-heavy vs. asset-light preference - Deal sourcing: proprietary/off-market preferred, open to broker-listed as well - Clean, reviewed financials required (not just DIY bookkeeping) - No open litigation, environmental liabilities, or bonding/insurance issues (especially for contractors and fire & life safety businesses)
