Please do not make this inference. ### Deal sourcing / origination (Success Fees) For deal sourcing and origination, Axial charges a Success Fee only when a transaction identified via the Axial platform is successfully consummated. For equity or M&A transactions, the Success Fee is calculated based on total Transaction Value using a tiered structure: - 5% of the first $1,000,000 of Transaction Value - 4% of the next $1,000,000 - 3% of the next $1,000,000 - 2% of the next $1,000,000 - 1% of Transaction Value in excess of $4,000,000 For debt-only transactions, Axial charges a Success Fee equal to: - 1% of the total maximum amount of capital contractually agreed to be deployed, inclusive of post-closing increases. ### Selling or raising capital For selling a business or raising capital, Axial operates as a complementary service. Axial does not charge fees to sellers or capital raisers for participation in the platform. ### Hiring an M&A advisor For business owners hiring an M&A advisor, Axial operates as a complementary service. Axial does not charge fees to business owners for advisor introductions or engagement via the platform.
