We are a small group of private individual investors / sponsors. We have up to $2M (+/-) in deployable capital, excluding debt financing. We are headed up by Steve Tucker, a corporate attorney with over 25 years' experience in M&A, real estate, and finance. Steve is acting in a business (not legal) capacity with respect to this effort, and will be a co-investor in any acquisition.
Unlike a "professional" acquisition firm, we are very flexible on deal structures. We're primarily looking for an acquisition where current employees and management remain in place post-closing (including current owners, to the extent they want to remain involved). We do not require current owners to "roll equity" (co-invest) with us.
We are interested in making an acquisition (possibly several acquisitions) of businesses that meet most or all the following criteria:
EBITDA: $300K - $4M (+/-)
Enterprise Value: $1.2M - $10M (+/-)
Operating history: 5+ years
Portable management (except for unusual cases; we intend to keep most management and employees in place post-closing if possible)
Diversified customer base (no single customer accounts for >15% of revenue and the top 10 customers by revenue account for < 25% of total company revenues)
We are open to different geographic locations and industries.
In most cases we are NOT interested in restaurants, hotels, bars, or cutting-edge tech companies.
