Proper preparation of a business for sale can be a time consuming effort, even when the business owner says that he is ready. A realistic time frame for this activity could easily range from one month to one year. As a service to the business owner considering a future sale and/or retirement, but who perhaps is not quite ready to do so, McLemore & Associates will provide a range of consulting services.
In addition to guiding the business owner in properly preparing the company for sale, we will then actively market the company to qualified buyers, while maintaining the confidentiality necessary in all such transactions. We will provide a professionally prepared written presentation of the company for prospective buyers; prepare the business owner for meetings with potential buyers; set up and supervise the potential buyers during visits to the company's facilities; discuss with the owner's legal and tax advisors all offers from buyers to help determine the deal structure and terms that best meet the owner's objectives; and negotiate letters of intent with potential buyers on the owner's behalf. We will then work closely with the seller's legal counsel and tax advisors to guide the transaction to a successful conclusion.
B. Reagan McLemore III is a licensed Texas attorney with 35+ years of experience representing business owners - from entrepreneurial start-ups to seasoned operators - in every aspect of their business, including management, mergers, acquisitions, purchases and sales.
Mr. McLemore has also been personally involved with the creation, operation, purchase and sale of numerous businesses over the years.
