The deal is a strategic carve-out of three distinct legal entities:A mature ICT Service Provider with exclusive Tier-1 international authorizations (Apple AASP) and a robust government/corporate contract book.An Asset-Holding Entity owning a proprietary IoT and Telematics platform (AfriTraq) with recurring subscription revenue.A Real Estate Holding Company that owns the group’s physical headquarters and operational infrastructure.Investment Thesis:The group is a cash-flow-positive legacy asset. My post-acquisition roadmap involves a Phase 2 modernization pivot into an AI-native Managed Services Provider (MSP). This will be achieved by integrating a global technical 'strike team' to transition hardware-heavy revenue into high-margin Cloud and Cybersecurity recurring streams. Furthermore, the group’s IoT infrastructure will serve as the technological backbone for my secondary industrial portfolio in circular economy technologies."
